1. About these terms

These Terms of Service govern your use of nyvoro.in and of the services and seller platform provided by Nyvoro (“Nyvoro”, “we”, “us”). By using this website or engaging our services you agree to these terms. Where you have signed a separate written service agreement with us, that agreement takes precedence over these terms to the extent of any conflict.

2. Our services

We provide e-commerce services including marketplace onboarding, listing and catalogue optimisation, advertising and PPC management, product research and sourcing, listing automation, multi-channel selling support, digital marketing, brand store and website development, and analytics and reporting. We also operate the Nyvoro seller platform, a dashboard that connects to your authorised marketplace selling account.

The exact services provided to you are those set out in your accepted written quote or service agreement.

3. Platform access and authorisation

Use of the seller platform requires you to authorise your selling account through the marketplace’s official authorisation flow. Authorisation is optional, is initiated by you, and may be revoked by you at any time from Nyvoro settings or from your marketplace seller dashboard.

• You confirm that you are the account holder or are authorised to grant access on the account holder’s behalf.
• We access only the permission scopes you approve, for the purposes described in our Privacy Policy.
• We never request your marketplace password, and you should never share it with us or any other service provider.
• On revocation, data retrieval stops immediately and stored seller data is deleted as set out in the Privacy Policy.

4. Plans, fees and payment

• Starter is free for three months from activation. At the end of that period the account moves to a paid plan only if you choose to continue; we will not charge you automatically without your confirmation.
• Professional is billed monthly in advance at the price shown in our pricing section, and may be cancelled at any time with effect from the next billing cycle.
• Enterprise and all managed services are quote-based. Each written quote states the scope, deliverables, fees and payment schedule, and work begins only after you accept it in writing.
• Marketplace fees, advertising spend and third-party charges are billed to you directly by those providers and are not included in our fees unless expressly stated.
• Prices may change with reasonable prior notice. Taxes are charged as applicable under Indian law.

5. Client responsibilities

• Provide accurate business, product and compliance information.
• Hold the rights and approvals required to sell your products on the relevant marketplaces.
• Maintain stock availability and fulfil orders on time where fulfilment is your responsibility.
• Respond to approval requests within reasonable timeframes, so agreed timelines can be met.
• Comply with all applicable marketplace policies and applicable law.

6. No guarantee of specific results

We do not guarantee any specific sales figure, revenue level, ranking, growth percentage or advertising return. Marketplace outcomes depend on factors outside our control, including your pricing, product quality, stock availability, competition, seasonality and marketplace policy changes.

Any figures shared in proposals or case studies describe past work in specific circumstances and are not a promise of comparable results for your business.

7. Marketplace policy compliance

We deliver our services in line with the applicable marketplace policies and developer agreements. We will not carry out activity that breaches those policies — including manipulating reviews or rankings, or misrepresenting a relationship with any marketplace.

You remain responsible for your account’s compliance. We are not liable for enforcement action arising from your products, claims or instructions.

8. Intellectual property

• Content we create for you — listing copy, creatives, website code — becomes yours on full payment, unless agreed otherwise in writing.
• The Nyvoro platform, its software, interface and underlying tooling remain our property. Access is licensed to you for the duration of your subscription and is not transferable.
• Website content, brand assets and marks on nyvoro.in remain our property.
• You retain ownership of your brand assets, product content and account data.

9. Confidentiality and data protection

Each party will keep the other’s confidential business information confidential and use it only to perform the engagement. Our handling of personal information and seller data is described in the Privacy Policy, which forms part of these terms.

10. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any engagement is limited to the fees you paid us for that engagement in the three months preceding the event giving rise to the claim.

We are not liable for indirect, incidental or consequential loss, including loss of profit, revenue, goodwill or data. Nothing in these terms excludes liability that cannot lawfully be excluded.

11. Suspension and termination

• You may cancel a platform subscription at any time, with effect from the next billing cycle.
• Either party may terminate a services engagement with 30 days’ written notice, unless the service agreement states otherwise.
• We may suspend or terminate immediately for non-payment, for a breach of these terms, or where continuing would breach marketplace policy or applicable law.
• On termination we hand over the deliverables completed and paid for, and platform access ends. Your data is handled as described in the Privacy Policy.

12. Changes to these terms

We may update these terms from time to time. The “last updated” date above reflects the current version. Where changes are material and you are an active client, we will notify you in writing.

13. Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Jaipur, Rajasthan have exclusive jurisdiction over any dispute, unless your service agreement specifies otherwise.
